A client fund of SES has recently set aside a significant “Special Opportunities Fund” to pursue unique financing and investment opportunities that fall outside the traditional parameters of commercial banks and leverage buyout investors. The client is a long established middle market investor (not a private equity fund) with a committed capital base of over $3 Billion.

A general description of the criteria and “themes” for target situations is as follows:

Investment needs of $10 to $25 Million.
Funds be structured around the capital needs of the business and can be invested as equity, debt (amortized or PIK interest), warrants or a hybrid of multiple classes.
Fixed asset coverage and current EBITDA are not primary concerns. This firm has a desire to invest in companies with the potential for generating attractive future cash flow returns.

In short, management is looking for companies that require Growth Capital to pursue specific opportunities or “good company, bad balance sheet” situations where an equity investment and/or debt restructuring would return the firm to profitability.
