Sourcing quality, proprietary deal flow in the middle market is time consuming, inefficient and filled with challenges that are unique to this market segment. Depending on the definition of “middle market” the potential universe of sellers is well over 400,000 companies. In addition to the sheer size of the market, credible information on quality business opportunities is also scant. Private business owners are less knowledgeable about institutional exit strategies and their varied options than owners of larger, more widely held firms. In addition, the decision to sell is usually communicated through a relatively small network of professionals or less qualified business brokers. Our role is to cut through these inefficiencies to deliver quality, reasonably valued deals with the underlying characteristics that will support an institutional investment.

  • The ability to educate owners about the M&A process (valuation, deal structures, diligence, etc.) and to guide them towards a successful closing. Our experience with entrepreneurial business owners (and their other professionals) allows us to anticipate and address challenging issues before they become problems.

  • An understanding of legal, financing and business data requirements required in an institutional deal. Our experience helps facilitate the multi-layered business, accounting and legal due diligence requirements and helps ensure a more direct path from the LOI to a P&S agreement to a successful closing.

The combination of these two skill sets allows us to play a vital, pro-active role that bridges the inevitable gaps (informational, intrapersonal, financial, etc.) that exist between institutional buyers and entrepreneurial sellers.
